MetaX STAKE – Swap Terms of Use

AUBE Token Swap Terms of Use - Version 1.0 (Effective April 15, 2025)

Article 1: General Provisions

 1-1 These Terms of Service (hereinafter referred to as "these Terms") regarding the Ethereum-based AUBE Token Swap Service are concluded between you (hereinafter referred to as "you" or "your") and MetaX PRO. These Terms regulate the use of the token swap service (hereinafter referred to as the "Token Swap Service") for exchanging ATEM tokens (hereinafter "ATEM") and HEC tokens (hereinafter "HEC"), issued by MetaX PRO, into AUBE tokens issued by MetaX PRO, and related services, and must be adhered to. These Terms form a binding agreement between you and MetaX PRO and supplement the MetaX PRO Terms of Use posted on https://www.metax-pro.io. If you disagree with any provision or condition in these Terms, please discontinue the use of the Token Swap Service immediately. By using the Token Swap Service, you are deemed to have agreed to be legally bound by these Terms, the MetaX PRO Terms of Use, and any other terms and rules regarding the Token Swap Service issued by MetaX PRO from time to time.

1-2 In the event of any conflict or inconsistency between these Terms and the provisions of the MetaX PRO Terms of Use, these Terms shall prevail. Provisions of the MetaX PRO Terms of Use not modified by these Terms shall remain fully effective.

1-3 Unless otherwise expressly stated, these Terms shall apply to the Token Swap Service from 12:00:00 (UTC) on April 16, 2025.

Any changes to swap rates or the termination of the Token Swap Service will be announced in advance on the official MetaX PRO website https://www.metax-pro.io 

Article 2: Token Swap Service (Swap = Exchange)

2-1 During the period specified in Article 1-3, MetaX PRO will conduct a token swap between existing ATEM and HEC tokens and AUBE tokens.

2-2 As part of the token swap, all exchanged ATEM and HEC tokens will be invalidated and rendered completely unusable thereafter.

2-3 AUBE tokens will be distributed to current holders of ATEM and HEC tokens at a certain ratio for the purpose of swapping existing ATEM and HEC tokens. The ratio of AUBE tokens to ATEM and HEC tokens will vary depending on the recruitment period:

a. Subscription Periods: 

First Subscription Period: From 12:00:00 (UTC) on April 16, 2025 to 23:59:59 (UTC) on June 19, 2025

Second Subscription Period: From June 20, 2025 (UTC) to 23:59:59 (UTC) on July 22, 2025

Third Subscription Period: From July 23, 2025 (UTC) to 23:59:59 (UTC) on August 22, 2025

Fourth Subscription Period: From August 23, 2025 (UTC) to 23:59:59 (UTC) on September 30, 2025

Fifth Subscription Period: From October 1, 2025 (UTC) to 23:59:59 (UTC) on December 31, 2025

Ratio: AUBE tokens: ATEM and HEC tokens = 1:100

b. Subsequent Subscription Period:
The swap service will continue from 2026 onward after the conclusion of the subscription periods set forth in Section 1-3(a).
For the time being, the swap ratio will remain at 1 : 100, and no termination date is set at this time.

In the event of any future changes to the swap ratio or the termination of the swap service, prior notice will be announced on the official MetaX PRO website https://www.metax-pro.io

2-4 The minimum exchangeable amount starts at 0.01 ATEM and HEC.

2-5 AUBE tokens will retain the same utility as their predecessors, ATEM and HEC.

2-6 By agreeing to these Terms, you acknowledge and accept that after the token swap, ATEM and HEC will completely lose their intended utility.

Article 3: Conditions and Rules

3-1 Conditions for Using the Token Swap Service

Ⅰ. A MetaX PRO account is required. If you do not have an account, you can apply on the official MetaX PRO website https://www.metax-pro.io. Registration requires an email address and completion of KYC (Know Your Customer) verification.

Ⅱ. An ERC-compatible wallet is required.

3-2 Rules for Using the Token Swap Service

Ⅰ. Token Swap Application a. You must enter your UID, email address, KYC verification, and ERC-compatible wallet address in the AUBE Swap Application Form (Google Form). (This process will hereinafter be referred to as "Update Application," and the date of entry as "Application Date.")

a. If you enter an incorrect ERC-compatible wallet address, the AUBE tokens will be sent to the wrong wallet.

b. Send the required amount of ATEM and HEC tokens for the desired AUBE tokens internally via MetaX PRO, and receive the corresponding number of AUBE tokens in the designated ERC-compatible wallet.

c. You must complete the internal transfer within 7 days of the application date (including the application date).

d. There is no limit to the number of applications or internal transfers during the recruitment period.

 e. If the application details are incomplete or contain errors, you will need to reapply.

Ⅱ. Fees (Gas Fees)

a. No fees are required for internal transfers.

b. To receive AUBE tokens in the designated wallet, payment in Ethereum as a gas fee is required. The payment amount varies depending on the rate at the time of payment.

Ⅲ. Cancellation and Refunds

a. If the internal transfer is not completed within 7 days from the application date, the application will be canceled.

b. If the internal transfer is made after 7 days from the application date, it will be invalid and refunded.

c. Internal transfers made without an accompanying application will be refunded.

 d. Internal transfers involving cryptocurrencies other than ATEM and HEC will be refunded.

Ⅳ. The conditions and rules of the Token Swap Service listed in these Terms do not constitute its entirety. You must review, understand, and agree to the full content available at AUBE Token Swap Service Official Guide view before using the Token Swap Service.

Article 4: Your Responsibilities

In using the Token Swap Service provided by MetaX PRO, you agree to and confirm the following:

4-1 The Token Swap Service provided by MetaX PRO is offered "as is" and "within the scope of availability." Except as expressly provided in this agreement, you acknowledge that MetaX PRO does not directly guarantee the end user's benefits under this agreement and that MetaX PRO's obligations under this agreement are intended solely for your benefit and not for the benefit of other individuals. By entering into this agreement, you agree that, except as explicitly stated, you have not relied on any guarantees from MetaX PRO or its affiliates.

4-2 You understand that MetaX PRO cannot and does not guarantee that the MetaX PRO site is free from viruses or other destructive codes. You are responsible for implementing sufficient procedures and checkpoints to meet specific requirements regarding antivirus protection and the accuracy of data input and output, as well as maintaining means outside the MetaX PRO site to reconstruct lost data.

4-3 You must fully recognize the risks associated with digital assets and decentralized networks, including all transactions involving Ethereum and swap tokens, which carry significant risks. You should carefully consider whether it is appropriate to use MetaX PRO's Token Swap Service in light of your financial circumstances. When considering whether to hold digital assets, keep in mind that the price or value of digital assets may fluctuate drastically, decline, or even reach zero in some cases. Past performance is not indicative of future performance. You acknowledge that MetaX PRO is not responsible for losses of digital assets resulting from the theft, loss, or mishandling of secret keys for digital assets outside MetaX PRO's control.

4-4 Do not use the content posted on the MetaX PRO site as the basis for investment decisions. While MetaX PRO strives to verify the accuracy of all displayed, provided, or disseminated information, such information may not always be accurate or up-to-date. Therefore, you must independently verify all information before relying on it, and any decisions or actions based on such information are solely your responsibility.

4-5 You are responsible for all data transmitted when using the MetaX PRO site or Token Swap Service. You understand and acknowledge that you, not MetaX PRO, are entirely responsible for the legality, reliability, accuracy, and appropriateness of such content.

Article 5: Risks

5-1 Acquiring tokens may involve risks. Before obtaining tokens, you are strongly encouraged to carefully evaluate all potential risks and seek advice from an independent professional. If you do not understand digital assets, blockchain-based software, and services, you should not use the Token Swap Service.

5-2 You agree not to hold MetaX PRO or its affiliates, representatives, agents, administrators, directors, employees, entities, owners, or founders liable for any incidental or consequential loss or damage arising from or related to the use of the Token Swap Service.

5-3 By using the Token Swap Service, you explicitly acknowledge that you fully understand all potential risks, uncertainties, costs, and benefits associated with digital assets and tokens.

Article 6: Disclaimer

6-1 MetaX PRO makes no representation or warranty that access to the website will be continuous, uninterrupted, timely, or error-free.

6-2 MetaX PRO is not responsible for any digital asset markets and makes no representation or warranty regarding the actual value or perceived value of digital assets denominated in any currency. MetaX PRO may provide past and/or real-time data on digital asset prices; however, MetaX PRO makes no representation regarding the quality, suitability, veracity, usefulness, accuracy, or completeness of such data. You are advised not to rely on such data for any reason.

6-3 You understand and agree that the value of digital assets can fluctuate. Furthermore, MetaX PRO is not responsible for any losses you incur when using or transferring digital assets in connection with its services. MetaX PRO does not provide investment advice, and the content on the site should not be considered a substitute for customized investment advice.

6-4 When using the Token Swap Service, you may view content or services provided by third parties, including links to third-party webpages or services ("Third-Party Content"). MetaX PRO does not manage, endorse, or adopt such Third-Party Content and is not responsible for it. Additionally, transactions or communications between you and third parties are conducted solely between you and those third parties. MetaX PRO is not responsible for any losses or damages arising from such transactions. Use of Third-Party Content is at your own risk.

6-5 MetaX PRO assumes no responsibility for any actions you take or perform based on information provided by MetaX PRO. The consequences of such actions are solely your responsibility.

Article 7: Amendments to Terms

7-1 You agree and acknowledge that MetaX PRO reserves the right to revise the contents of these Terms at any time at its sole discretion.

7-2 You are responsible for periodically reviewing these Terms, and by continuing to use the service after amendments, you are deemed to have accepted the changes.

Article 8: Handling of Personal Information

8-1 You acknowledge and agree that MetaX PRO will handle your personal information properly and manage it in accordance with applicable laws and  regulations.
